Terms and Conditions

Last updated on 5 Aug 2026

Citruss is operated by CROFT TECH LTD ("Citruss", "we", "us", "our"), a company registered in [JURISDICTION OF INCORPORATION] under company number [COMPANY NUMBER], with its registered office at [REGISTERED OFFICE ADDRESS].

These Terms of Service (the "Terms") are a binding agreement between you and CROFT TECH LTD. They govern your use of usecitruss.com, citruss.app, any Citruss booking page, and any related application, tool, or service we operate (together, the "Service").

By creating an account, booking through a Citruss booking page, or otherwise using the Service, you confirm that you have read these Terms and agree to be bound by them. If you do not agree, do not use the Service.

If you are accepting these Terms for a company or other organisation, you confirm that you have authority to bind that organisation, and "you" means that organisation.

You can reach us at usecitruss@gmail.com.

1. Definitions

Host means a person or organisation that uses the Service to publish a booking page, offer appointments or services, and accept payment.

Client means a person who books or pays for a Host's service through the Service.

Booking means an appointment, session, or other service that a Client reserves with a Host through the Service.

Booking Page means the public page a Host publishes through the Service, including at a citruss.app address.

Host Content means anything a Host uploads, submits, or displays through the Service, including business names, service descriptions, prices, images, availability, and messages.

Payment Processor means [PAYMENT PROCESSOR], the third party that processes payments and holds and transfers funds in connection with Bookings.

Platform Fee means the fee we charge on transactions processed through the Service, as published on our pricing page.

2. What Citruss is, and what it is not

Citruss is software. We provide the tools that let a Host publish availability, take Bookings, and collect payment, and that let a Client find and book that Host.

We are not a party to the contract between a Host and a Client. When a Client books a Host, the resulting agreement to deliver and pay for that service is between the Host and the Client alone. We do not supply, endorse, control, supervise, or guarantee any service offered by a Host.

We are not the merchant of record. The Host is the seller of the booked service. The Host is responsible for delivering it, for its quality and legality, for honouring its own cancellation and refund terms, and for any tax arising on it.

We are not a bank, payment institution, money transmitter, escrow agent, or fiduciary. We do not hold your funds. Funds are held and moved by the Payment Processor under its own agreement with you.

We are not an employer, agent, or partner of any Host. Nothing in these Terms creates a joint venture, agency, partnership, or employment relationship between us and you.

3. Eligibility

You must be at least 18 years old to use the Service, whether as a Host or as a Client.

By using the Service you confirm all of the following.

  • You are at least 18 years old and have legal capacity to enter into a binding contract.
  • You have not previously been suspended or removed from the Service.
  • Your use of the Service complies with all laws that apply to you, and, if you are a Host, that your services may lawfully be offered and paid for in the places where you offer them.
  • You are not located in, or ordinarily resident in, a country or territory subject to comprehensive sanctions, and you are not named on any applicable sanctions or restricted party list.

We may refuse, restrict, or withdraw access to the Service for anyone who does not meet these conditions.

4. Your account

To use most of the Service you need an account.

You agree to give us accurate, current, and complete information when you register, and to keep it up to date. Inaccurate or outdated information may result in suspension or termination of your account.

You are responsible for keeping your login credentials confidential and for all activity that takes place under your account. Tell us promptly at usecitruss@gmail.com if you believe your account has been accessed without your permission.

You may choose a handle for your Booking Page. You confirm that your handle does not infringe anyone's trade mark or other rights, does not impersonate another person or business, and is not obscene, deceptive, or unlawful. We may reclaim, change, or suspend any handle that breaches this section or that we reasonably believe is being squatted or misused.

You may not create an account on behalf of someone else without their authority, or create a new account after we have terminated a previous one for breach of these Terms.

5. Host obligations

If you use the Service as a Host, you agree to all of the following.

  • You will describe your services, prices, duration, location, and any material conditions accurately and without misleading anyone.
  • You will publish clear cancellation, rescheduling, no-show, and refund terms, and you will honour them. Where you sell to consumers, those terms must comply with the consumer protection law that applies to your Client, which may give them rights you cannot contract out of.
  • You will hold, and keep current, every licence, registration, insurance policy, and qualification that the law requires for the services you offer.
  • You will deliver booked services with reasonable skill and care, and at the time you agreed, or will notify your Client promptly if you cannot.
  • You will handle your Clients' personal data lawfully, and you will maintain your own privacy notice where the law requires one. Between you and us, you are the controller of your Client data and we act as your processor in respect of Client data you collect through the Service. Our processing terms are set out in our data processing agreement, available at [LINK TO DPA].
  • You will account for your own taxes. See section 9.
  • You are solely responsible for resolving disputes with your Clients.

You grant us permission to display your Booking Page, business name, and service information publicly, and to communicate with your Clients about their Bookings on your behalf, including confirmations, reminders, and receipts.

6. Bookings, cancellations, and refunds

When a Client confirms a Booking, they enter into a contract with the Host on the terms the Host has published. We record that Booking and process payment for it. We are not a party to it.

Cancellation and refund terms are set by the Host and are shown at the point of booking. A Client who wants a refund should contact the Host first.

We may, but are not obliged to, issue or reverse a refund where we reasonably believe it is necessary to comply with the law, with the rules of a card network, or with a direction from the Payment Processor, or where the Booking was fraudulent. Where we do so, the Host authorises us to recover the refunded amount, including any Platform Fee already paid out, from their balance or future payouts, or to invoice the Host for it.

Where a Client is a consumer, statutory rights may apply in addition to the Host's published terms, including in the European Union and the United Kingdom a right to cancel certain distance contracts within 14 days. Those rights sit with the Host as the supplier of the service, and the Host is responsible for honouring them.

7. Fees and payouts

Platform Fee. We charge a Platform Fee on transactions processed through the Service, and we may charge subscription fees for some plans. Current amounts are on our pricing page. We will show you the fees that apply before you incur them.

Processor fees. The Payment Processor charges its own fees. Those are separate from the Platform Fee and are set by the Payment Processor.

Payouts. Amounts collected from Clients are paid out to the Host by the Payment Processor, less the Platform Fee, processor fees, refunds, chargebacks, and any amount we are required or permitted to withhold. Payout timing is determined by the Payment Processor and by the Host's own settings, and we do not guarantee any particular timing.

Processor agreement. To receive payouts, a Host must open and maintain an account with the Payment Processor and accept its terms. The Payment Processor may require identity verification, business information, and supporting documents, and may hold, delay, or reverse funds under its own agreement with the Host. We cannot override those decisions.

Chargebacks and disputes. The Host bears the cost of chargebacks, reversals, and card network fines or assessments arising from their Bookings, and authorises us to recover those amounts from their balance or future payouts. Where a Host's account attracts an unusually high rate of refunds, chargebacks, or fraud reports, we may impose reserves, delay payouts, or terminate the account.

Fee changes. We may change our fees. For existing paying users, we will give at least 30 days' notice before a fee increase takes effect, and the change will apply from the start of the next billing period. If you do not accept the change, you may cancel before it takes effect.

8. Citruss subscriptions

Some Citruss plans are billed on a recurring basis.

Before you subscribe we will show you the price, the billing frequency, the length of the term, the date of the first charge, and how to cancel. By subscribing you authorise us and the Payment Processor to store your payment method and charge it on each renewal date until you cancel.

Renewal. Your subscription renews automatically for successive periods of the same length unless you cancel before the renewal date. We will remind you before a renewal where the law requires it, and by default before any annual renewal.

Cancellation. You may cancel at any time from your account settings, in no more steps than it took to subscribe, without contacting support and without going through a retention offer you did not ask for. Cancellation takes effect at the end of the current billing period. You keep access until then. We do not refund the unused part of a period that has already started, except as set out below or where the law requires it.

Consumer right to cancel. If you are a consumer in the European Union or the United Kingdom, you have 14 days from the day you subscribe to cancel that subscription for any reason and receive a refund. If you asked us to start providing the subscription immediately during that period, we may charge you a proportionate amount for the part of the period already provided. To exercise this right, tell us clearly within 14 days at usecitruss@gmail.com, or use the cancellation option in your account. We will refund you within 14 days of being told, using the same payment method you used.

Failed payments. If a renewal payment fails, we may retry it, and we may restrict or suspend paid features until payment succeeds. We will tell you before suspending access.

Free trials and promotions. Where we offer a trial or promotional rate, we will tell you when it ends and what you will be charged afterwards. Promotional offers apply only to the users they are offered to.

9. Taxes

You are responsible for determining, collecting, reporting, and paying any tax that arises on the services you sell through the Service, including sales tax, VAT, GST, and income tax. Prices you publish must be stated in the way your local law requires, including whether tax is included.

We are responsible for tax on our own fees. We may add VAT, GST, or similar tax to the Platform Fee or subscription fee where we are required to collect it, and we may ask you for a tax identification number to determine the correct treatment.

Where the law obliges us to withhold or report amounts, or to collect tax on a transaction, we will do so and will tell you. We do not otherwise calculate, collect, or remit tax on a Host's behalf, and nothing in the Service is tax advice.

10. Acceptable use

You may not use the Service to do, or to help anyone else do, any of the following.

  • Break the law, or offer, sell, or facilitate anything unlawful where you or your Client is located.
  • Offer sexual services, or content or services that are pornographic or that sexualise a minor in any way.
  • Offer regulated services you are not licensed to provide, including medical, therapeutic, legal, financial, or immigration services, or make health, income, or outcome claims you cannot substantiate.
  • Sell alcohol, controlled substances, tobacco or vaping products, firearms, weapons, or anything else restricted where you operate.
  • Take payment for a service you do not intend to deliver, or run any scheme designed to test, launder, or extract funds rather than to deliver a genuine service.
  • Impersonate any person or business, or misstate your affiliation with one.
  • Harass, threaten, defame, stalk, or discriminate against anyone, including your Clients, other Hosts, or our staff.
  • Collect, scrape, sell, or transfer data about other users obtained through the Service, or contact Clients for anything other than their Booking without a lawful basis and their consent.
  • Access the Service by any automated means we have not authorised, or interfere with, probe, reverse engineer, or circumvent any security or access control feature.
  • Upload malware, or otherwise disrupt or degrade the Service or any network or infrastructure it runs on.
  • Resell, sublicense, or otherwise make the Service available to a third party except as the Service is designed to allow.

This list gives examples and is not exhaustive. We may suspend or terminate access for conduct that falls outside it but that we reasonably consider harmful to users, to us, or to our partners.

11. Host Content

You keep ownership of your Host Content.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for formatting and display, publish, and distribute your Host Content, for as long as you keep it on the Service and only for the purpose of operating, securing, and promoting the Service. This licence ends when you delete the content or your account, except for copies kept in backups for a limited period, and except where a Client or the law requires us to retain a record of a Booking.

You confirm that you own your Host Content or have all rights needed to grant this licence, that it does not infringe anyone's intellectual property, privacy, or publicity rights, and that it is accurate and not misleading.

We have no obligation to monitor Host Content, and we are not responsible for it. We may remove or restrict content under section 12.

12. Illegal content, reporting, and moderation

Anyone can report content on the Service that they believe is illegal or that breaches these Terms. Send a report to usecitruss@gmail.com or use the reporting link on any Booking Page.

To let us act on a report, please include all of the following.

  • Enough detail to explain why you consider the content illegal or in breach, and the legal basis if you are relying on one.
  • The exact location of the content, such as the Booking Page address.
  • Your name and email address, unless the report concerns child sexual abuse material or certain other offences, where you may report anonymously.
  • A statement that you believe in good faith that your report is accurate and complete.

We will confirm receipt without undue delay, review the report in a timely, non-arbitrary, and diligent way, and tell you the outcome and how to challenge it.

Where we restrict, remove, demote, suspend, or demonetise content or an account, we will give the affected user a statement of the reasons, including what we did, why, whether the decision was automated, and how to appeal, unless the law prevents us from doing so.

Appeals. If you disagree with a decision, you may appeal within six months by writing to usecitruss@gmail.com. Appeals are reviewed by a person, not by an automated system alone. If you are in the European Union you may also refer the dispute to a certified out-of-court dispute settlement body, and you may take the matter to court in any event.

Misuse. We may suspend the handling of reports from anyone who repeatedly submits manifestly unfounded reports, and we may suspend accounts that repeatedly post manifestly illegal content, after warning them.

Intellectual property complaints. If you believe content on the Service infringes your copyright or trade mark, send a notice to usecitruss@gmail.com identifying yourself and your right, identifying the content and where it sits, stating that you believe in good faith the use is not authorised, and confirming your notice is accurate. We may pass your notice to the user concerned. We will terminate accounts of repeat infringers in appropriate cases.

13. Our intellectual property

The Service, including its software, design, interface, brand, and content we create, belongs to CROFT TECH LTD or our licensors and is protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service in the way it is designed to be used, for as long as you comply with these Terms.

You may not copy, modify, distribute, sell, or create derivative works from the Service, or remove any notice of ownership, except where the law expressly allows it despite this restriction.

We reserve all rights not expressly granted. Any feedback you send us may be used without restriction or compensation.

14. Third party services

The Service relies on third parties, including the Payment Processor, hosting providers, calendar providers, and communication tools. It may also link to third party sites, or let you connect third party accounts.

Those services are governed by their own terms and privacy notices. We are not responsible for them, for their availability, or for what they do with information you choose to share with them. Review their terms before connecting them.

15. Privacy

Our Privacy Policy explains what personal data we collect and how we use it, and forms part of these Terms.

Where a Host collects personal data about their Clients through the Service, the Host is the controller of that data and we act as processor on the Host's instructions, on the terms set out in our data processing agreement at [LINK TO DPA]. Where we decide how and why data is processed, for example for our own account, billing, security, and product analytics, we act as controller.

16. Suspension and termination

By you. You may stop using the Service and close your account at any time from your account settings, or by writing to usecitruss@gmail.com. Closing your account does not cancel Bookings already made or release you from obligations to your Clients or to us.

By us. We may suspend or terminate your access, with notice, if you breach these Terms, if we are required to by law or by a regulator, court, card network, or the Payment Processor, or if we reasonably believe your account is being used for fraud or illegal activity. Where the risk of harm is serious or immediate, or where notice would prejudice an investigation or is prohibited, we may act first and tell you afterwards.

Holds. We may place a hold on payouts while we investigate a suspected breach, a payment dispute, or a compliance matter. We will keep any hold no longer than is reasonably necessary, and no longer than 180 days, unless a law enforcement body, regulator, or the Payment Processor directs otherwise, in which case the hold lasts as long as we are directed.

Effect. On termination, your licence to use the Service ends, your Booking Page stops being available, and you must stop using the Service. Amounts you already owe remain payable, and amounts we owe you remain payable subject to any set-off for refunds, chargebacks, or fees. Sections that by their nature should survive, including sections 7, 9, 13, 17, 18, 19, and 20, survive termination.

Your data. Export your Booking history and Client information before you close your account. We will retain and delete data as described in our Privacy Policy.

17. Disclaimers

The Service is provided on an "as is" and "as available" basis.

To the extent the law allows, we do not warrant that the Service will be uninterrupted, timely, secure, or error free, that defects will be corrected, or that it will meet your requirements. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty about any Host, any Client, or any service booked through the Service, including its quality, safety, legality, or whether it will be delivered at all. We do not verify the qualifications, licences, or insurance of any Host beyond any checks we describe publicly.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, for fraud, or under consumer protection law that applies to you. If you are a consumer, you have statutory rights that these Terms do not affect.

18. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive loss, or for loss of profit, revenue, goodwill, business, or data, however caused.

To the extent the law allows, the total liability of CROFT TECH LTD to you for all claims arising out of or connected with the Service or these Terms, in any 12 month period, is limited to the greater of the amount you paid us in fees during the 12 months before the event giving rise to the claim, and US$100.

These limits do not apply to liability that cannot lawfully be limited, and they do not limit the statutory rights of a consumer.

19. Indemnity

If you use the Service as a Host, or otherwise use it in the course of a business, you will indemnify CROFT TECH LTD and our officers, employees, and agents against any third party claim, and any resulting liability, loss, damage, and reasonable legal cost, arising from your breach of these Terms, your Host Content, the services you deliver or fail to deliver, your infringement of anyone's rights, or your breach of any law.

We will tell you promptly of any claim and will not settle it without your consent, which you will not unreasonably withhold. We may take over the defence of any claim at our own cost.

This section does not apply to a consumer using the Service in a personal capacity.

20. Changes

To the Service. We may change, add, or remove features. Where a change materially reduces the functionality of a paid plan, we will give you reasonable notice and you may cancel and receive a pro rata refund of any prepaid amount for the unused period.

To these Terms. We may update these Terms. We will post the updated version with a new "last updated" date, and where the change is material we will tell you by email or in the product at least 30 days before it takes effect. If you do not accept the change, you may close your account before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.

21. Disputes and governing law

Please contact us first at usecitruss@gmail.com. Most issues are resolved quickly this way, and we will try in good faith to resolve any dispute within 30 days of you raising it.

If you are a consumer in the European Union, the United Kingdom, or another country whose law gives you similar protection, these Terms are governed by the law of the country where you live, and you may bring proceedings in the courts of that country. Nothing in this section removes any protection that the mandatory law of your home country gives you. If you are in the European Union, you may also use the online dispute resolution platform provided by the European Commission.

In every other case, these Terms are governed by the law of [GOVERNING LAW JURISDICTION], without regard to its conflict of law rules, and you and we submit to the exclusive jurisdiction of the courts of [COURTS], except that either of us may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

22. General

These Terms, together with the Privacy Policy and any policy or additional terms we link to, are the entire agreement between you and us about the Service.

You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate, or in connection with a merger, acquisition, or sale of assets, on notice to you.

If a provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the rest of these Terms will remain in effect.

Our failure to enforce a provision is not a waiver of it.

We are not liable for failure or delay caused by events beyond our reasonable control.

You agree that we may give you notices by email, by posting in the Service, or by posting on our website, and that electronic notices satisfy any legal requirement that a communication be in writing.

Headings are for convenience only. "Including" means "including without limitation".
